1. Acceptance and Service Description

By accessing and using TargoFlow's website, submitting information through our forms, or using the Jennie reconciliation service (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, please do not use our Services.

Jennie is an AI-powered reconciliation service currently under active development. We continuously work to improve its features, accuracy, and performance. As such, the Services are provided "as is" and "as available". Features may be added, modified, or removed, potentially without prior notice, as we refine the service. We do not guarantee uninterrupted or error-free operation.

We reserve the right to modify these Terms at any time. We will make reasonable efforts to notify users of material changes (e.g., via email or a website notice). Continued use of our Services after such modifications constitutes acceptance of the updated Terms.

2. Privacy and Data Handling

2.1 Information You Provide (Form Data)

We collect personal information you provide directly through sign-up forms, contact forms, or other interactions, including:

To use the Jennie reconciliation service, you will need to upload or connect financial data, which may include transaction reports, payout summaries, bank statements, and similar files from platforms like Stripe, Shopify, etc. ("Service Data").

Purpose: We use your Service Data solely for the purpose of providing the reconciliation Services you request. This includes processing, analyzing, matching transactions, identifying discrepancies, and generating reconciliation reports and related outputs for you.

Confidentiality: We treat your Service Data as strictly confidential information.

Security: We implement robust administrative, technical, and physical security measures designed to protect your Service Data from unauthorized access, disclosure, alteration, or destruction. This includes measures like encryption during transmission (e.g., TLS/SSL) and encryption at rest. However, please note that no internet transmission or electronic storage method is 100% secure.

Usage for AI Model Improvement: We do not use your identifiable Service Data to train our AI models without your explicit, separate consent.

Data Retention: We retain your Service Data only for as long as necessary to provide the Services to you, fulfill our operational requirements, or as required by applicable law. You may request the deletion of your Service Data, subject to legal or operational retention needs.

2.4 Data Protection and Sharing

We implement appropriate security measures to protect all personal information (Form Data) and Service Data we handle.

We do not sell your personal information or your Service Data to third parties.

We may share data (including Form Data and Service Data) with trusted third-party service providers who assist us in operating our website, processing data, hosting the Services (e.g., cloud infrastructure providers), or conducting analytics. To the fullest extent permitted by applicable law, TargoFlow and its affiliates, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or content, including your Service Data.

Our total liability for any claim arising out of or relating to these Terms or the Services is limited to the amount you paid us, if any, to use the Services in the 12 months preceding the claim.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
